DISCLAIMER OF WARRANTY : LIMITATION OF REMEDIES: EXCEPT FOR THOSE REMEDIES FOR WHICH THE CUSTOMER IS INDEMNIFIED BY TEK PARTNERS HEREUNDER, TEK PARTNERS’ TOTAL LIABILITY SHALL NOT EXCEED THE CHARGES PAYABLE BY CUSTOMER HEREUNDER. TEK PARTNERS’ OBLIGATIONS UNDER THIS AGREEMENT ARE IN LIEU OF ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
IN NO EVENT SHALL TEK PARTNERS OR THE CUSTOMER OR THE EMPLOYEES, AGENTS, OFFICERS, DIRECTORS OR SHAREHOLDERS OF ANY OF TEK PARTNERS OR THE CUSTOMER BE LIABLE FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, SAVINGS, USE, ENJOYMENT OR OTHER ECONOMIC LOSS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE PERFORMANCE OF ANY OBLIGATIONS HEREUNDER OR ANY BREACH HEREOF EVEN IF THE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TEK PARTNERS AND ITS EMPLOYEES, AGENTS, OFFICERS, DIRECTORS OR SHAREHOLDERS ARE NOT LIABLE OR RESPONSIBLE FOR ANY DAMAGES WHICH OCCUR WHILE TEK PARTNERS PERFORMS SERVICES UTILIZING THE CUSTOMER’S EQUIPMENT OR WHILE THE CUSTOMER’S EMPLOYEES ARE UTILIZING THEIR EQUIPMENT.
Service Provider Structure.
Retailer Shield is a service offered by CBS Holdings, LLC dba Catalyst Business Innovations (“Catalyst”). Customer support and technical assistance may be provided by Tek Partners Solutions Corporation, and cybersecurity software and related tools are provided by thirdparty technology partners, including GenixCyber. Catalyst is not responsible for the acts or omissions of thirdparty service or software providers.
No Warranty / No Guarantee of Security.
Retailer Shield is provided “AS IS” and “AS AVAILABLE.” Catalyst disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, noninfringement, or uninterrupted or errorfree operation. No cybersecurity service can guarantee complete protection against all threats, breaches, data loss, or unauthorized access.
Limitation of Liability.
To the maximum extent permitted by law, Catalyst’s total liability arising out of or related to Retailer Shield will not exceed the fees paid by you for the service during the three (3) months immediately preceding the event giving rise to the claim. In no event will Catalyst, Tek Partners, GenixCyber, or their respective officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, business interruption, or loss of use, even if advised of the possibility of such damages.
Billing & Cancellation.
By subscribing, you authorize recurring monthly charges of $840.00 plus applicable taxes to your selected payment method. You may cancel at any time through your account settings. Cancellations made within 7 days of initial purchase are eligible for a full refund. To avoid future charges, cancellation must occur at least 2 days before the next billing cycle.
Binding Agreement.
Your subscription is governed by the Retailer Shield Terms of Service, which are incorporated by reference and constitute a legally binding agreement between you and Catalyst.
